Introduction and Acceptance

Welcome to Leads for PMs. These Terms of Service ("Terms") govern your use of the leadsforpms.com website (the "Website") and our Google Ads management services (the "Services").

By accessing our Website or engaging our Services, you agree to be bound by these Terms. If you do not agree to these Terms, please do not use our Website or Services.

Services Description

Leads for PMs provides Google Ads management services specifically designed for property management companies. Our Services include:

  • Google Ads account setup and configuration
  • Keyword research and campaign strategy
  • Ad copywriting and creative development
  • Ongoing campaign management and optimization
  • Performance reporting and analysis
  • Consultation and strategic recommendations

Services are provided on a monthly retainer basis. Advertising spend (the amount paid directly to Google for ad placements) is separate from and in addition to our management fees.

No Guarantee of Results

This section is critical and you should read it carefully.

While we have extensive experience managing Google Ads campaigns for property management companies, we cannot and do not guarantee any specific results. This includes, but is not limited to:

  • A specific number of leads or inquiries
  • A specific cost per lead or cost per acquisition
  • A specific return on investment (ROI)
  • A specific conversion rate
  • Any increase in revenue or new clients

Advertising results depend on numerous factors outside our control, including but not limited to:

  • Your local market competition
  • Seasonal fluctuations in demand
  • Your company's reputation and online reviews
  • Your website's quality and conversion optimization
  • Your response time to leads
  • Changes to Google's advertising platform and policies
  • Economic conditions affecting property management demand

Any case studies, testimonials, or historical results shared on our Website or in conversations represent the results of specific clients under specific circumstances. These results are not typical and should not be relied upon as an expectation of what you will achieve.

Client Obligations

As a client of Leads for PMs, you agree to:

  • Provide Accurate Information: Supply truthful and accurate information about your business, services, and any claims made in advertising.
  • Comply with Policies: Ensure your business and advertising comply with Google Ads policies, applicable laws, and industry regulations.
  • Timely Communication: Respond to our requests for information, approvals, or feedback in a timely manner to avoid delays in campaign optimization.
  • Maintain Website: Keep your website operational, accurate, and compliant with applicable laws.
  • Provide Access: Grant us necessary access to your Google Ads account and related platforms as needed to perform our Services.

Payment Terms

Our Services are provided on a monthly retainer basis. Payment terms include:

  • Management Fees: Our management fees are billed monthly in advance and are due upon receipt of invoice.
  • Ad Spend: Advertising spend paid to Google is separate from our management fees. You are responsible for paying Google directly or providing funds for us to manage your ad spend on your behalf.
  • Late Payments: Invoices not paid within 15 days may result in suspension of campaign management services. Accounts more than 30 days past due may result in termination of services.
  • No Refunds: Management fees are non-refundable once the billing period has begun, as services are rendered on an ongoing basis.

Intellectual Property

  • Your Property: You retain ownership of all your business information, data, customer lists, and advertising accounts. Upon termination, you maintain full access and ownership of your Google Ads account and all campaigns created.
  • Our Property: We retain ownership of our proprietary methodologies, processes, templates, and tools used to deliver our Services. Any frameworks, strategies, or systems we develop remain our intellectual property.
  • License: You grant us a limited license to use your company name, logo, and testimonials for marketing purposes unless you notify us in writing that you wish to opt out.

Confidentiality

Both parties agree to maintain the confidentiality of any proprietary or sensitive information shared during the course of our business relationship. This includes but is not limited to:

  • Campaign performance data and metrics
  • Business strategies and plans
  • Pricing and financial information
  • Customer and lead information

This confidentiality obligation survives termination of our relationship.

Limitation of Liability

To the maximum extent permitted by law:

  • Liability Cap: Our total liability for any claims arising from or related to our Services shall not exceed the total fees paid by you to us in the three (3) months immediately preceding the claim.
  • Exclusion of Damages: We shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, loss of business, or loss of data.
  • Platform Changes: We are not liable for any losses resulting from changes to Google's advertising platform, policies, or algorithms.
  • Third-Party Actions: We are not liable for actions taken by Google, competitors, or other third parties that affect your advertising performance.

Termination

  • Termination for Convenience: Either party may terminate this agreement for any reason with 30 days' written notice.
  • Termination for Cause: Either party may terminate immediately upon written notice if the other party materially breaches these Terms and fails to cure such breach within 14 days of receiving notice.
  • Effect of Termination: Upon termination, we will provide transition assistance including transferring campaign access and providing final performance reports. Any outstanding fees for services rendered remain due and payable.

Governing Law and Disputes

These Terms shall be governed by and construed in accordance with the laws of the State of Delaware, USA, without regard to its conflict of law provisions.

Any disputes arising from or relating to these Terms or our Services shall first be attempted to be resolved through good faith negotiation. If negotiation fails, disputes shall be resolved through binding arbitration in accordance with the American Arbitration Association's rules. The arbitration shall take place in Delaware or remotely, at the discretion of the arbitrator.

Class Action Waiver: You agree that any disputes will be resolved individually, and you waive your right to participate in any class action or representative proceeding.

Severability

If any provision of these Terms is found to be unenforceable or invalid, that provision shall be modified to the minimum extent necessary to make it enforceable, or if modification is not possible, severed from these Terms. The remaining provisions shall continue in full force and effect.

Entire Agreement

These Terms, together with any service agreement or proposal signed between the parties, constitute the entire agreement between you and Leads for PMs regarding the subject matter herein and supersede all prior agreements and understandings.

Changes to Terms

We reserve the right to modify these Terms at any time. We will notify existing clients of material changes via email. Your continued use of our Services after such modifications constitutes acceptance of the updated Terms.
